On or about July 14, 2022, pursuant to the terms of a Settlement Agreement dated as of June 17, 2021 (the "Settlement Agreement"), by and among the Reporting Person, the Issuer, Afek Trading Kadosh and Razi Ltd., and Blackhawk Laboratories (the "Plaintiff"), the Reporting Person transferred 157,094 shares of common stock, for no consideration, to the Plaintiff pursuant to the Settlement Agreement.
