Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On January 9, 2008, Courtney R. Tusing announced that he is retiring from the Board of Directors of Highlands Bankshares, Inc. and will not seek re-election to the Board of Directors of Highlands Bankshares, Inc. when his term expires on May 12, 2008. Mr. Tusing has served on the Board of Directors of Highlands Bankshares since August 1995. Mr. Tusing currently serves on the nominating and compensation committees of the board of directors of Highlands Bankshares, Inc. and also serves on the Board of Directors of Capon Valley Bank, a wholly owned subsidiary of Highlands Bankshares.

Mr. Tusing’s desire to not seek re-election does not arise because of any disagreement with the registrant on any matter relating to the registrant’s operations, policies or practices.
