State below in reasonable detail why Forms 10-K, 20-F,
11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Evergreen Sustainable Enterprises, Inc.’s (the “Company”) quarterly report on Form 10-Q for the quarter ended June 30,
2023 (the “Form 10-Q”) could not be filed by August 15, 2023 without unreasonable effort and expenses because the Company
requires additional time to complete a financial audit and certified appraisal of the Toro assets acquired in January 2023 (See Press
Release dated January 12, 2023). The delay has been due to the inadequacy of the prior owners’ financial books and records, many
of which had to be reconstructed. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the Company anticipates
that it will file its Form 10-Q as soon as practicable.
