Item
1.01 Entry into a Material Definitive Agreement.
On
January 21, 2023, we executed a short-term $160,000 unsecured
financing agreement that netted us $152,000 after fees. We can
benefit from discounts based on early retirement of the obligation.
There is no equity component to the loan or dilution to
shareholders. A copy of the financing agreement is included herein
as Exhibit 10.1.
