Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Agreements of Certain Officers

On December 3, 2008, shareholders of FNDS3000 Corp. (the “Company”) holding a majority of the outstanding shares of common stock of the Company voted to remove Paul Cox as a director of the Company. As a result, effective December 3, 2008, Mr. Cox is no longer a director of the Company.
