The Registrant is unable to file its Quarterly Report on Form 10-Q for the period ended December 31, 2023 (the "10-Q") within the prescribed time period without unreasonable effort or expense due to the additional administrative burdens. The Registrant will file the 10-Q on or before the fifth calendar day following the prescribed due date.

For the nine months ended December 31, 2023, the Company generated net revenues of approximately $686, as compared to approximately $13,906 for the same period ended December 31, 2022. The cost of revenue was approximately $1,092 and approximately $8,349 for the nine months ended December 31, 2023, and 2022, respectively. This resulted in a net loss of approximately $54,235 and approximately net loss of $330,059 for the nine months ended December 31, 2023, and 2022, respectively.
