Explanation of Responses:

( 1)

On December 24, 2013, the Reporting Person entered into a subscription agreement with the Issuer for the purchase of 6,234,412 common shares for total proceeds of $1,000,000. On January 29, 2014, the Issuer received $500,000 from the Reporting Person and sold 3,117,206 of the shares to it. On June 11, 2014, the Issuer received $25,000 in proceeds from the Reporting Person and, upon receipt of the remaining $250,000 will sell the remaining 3,117,206 shares to it.
