The Registrant is unable to file its Quarterly Report on Form 10-Q for the three months ended June 30, 2024 (the “Report”) by the prescribed date of August 14, 2024, without unreasonable effort or expense, because the Registrant needs additional time to prepare and review the financial statements, including notes, to be included in the Report primarily due to limited resources and financial and accounting personnel. The Registrant intends to file the Report as soon as practicable following the prescribed due date.
