SECTION 5. CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 31, 2021, Brandy Gao resigned as our Chief Financial Officer. There was no known disagreement with Ms. Gao on any matter relating to our operations, policies or practices.

Also on December 31, 2021, our board of directors appointed Vella Deng as our Chief Financial Officer.

Vella Deng

Ms. Deng in past 5 years, the accountant director of Free Productions Limited in Hong Kong and China. Ms Deng has no any directorship in other public companies.

Ms. Deng is the sister of Chiyuan Deng, our Chief Executive Officer. Aside from that, there are no family relationships between Ms. Deng and any of our directors or executive officers.

Ms. Deng has not had any material direct or indirect interest in any of our transactions or proposed transactions over the last two years.
