                        Directors' Interests in Shares

In accordance with the terms of the Company's Sharesave Scheme ("the SAYE Scheme
"), three Directors have elected to purchase the shares to which they became
entitled following the completion of their five-year savings contracts on 1
November 2003. The allotment of new shares, which took place yesterday, was as
follows:

All the shares are being retained. The three Directors have no other outstanding
options under the SAYE Scheme.

By a written resolution of the Remuneration Committee of the Company passed on
11 November 2003, it was agreed that, in accordance with the terms of the
Company's Long Term Incentive Plan 2000 ("the LTIP"), the Company's total
shareholder return, measured over the three year period following the making of
the award on 9 November 2000 against that of a group of comparator companies,
had given rise to the Company being ranked first in the comparator group and
thus to 100% of the shares vesting.

Three Directors have therefore become unconditionally entitled to the LTIP
shares set out below.
