The Carphone Warehouse Group PLC ('Company')

Interest in Shares

The Company announces that Christopher Guy Johnson has today placed 40 million
shares in the capital of the Company with a major UK institution at 140p.  The
Company has consented to this placing pursuant to the arrangement it has with Mr
Johnson in respect of the disposal of shares by him.  Credit Suisse First Boston
acted as principal in the placing.

As a result of the placing, Mr Johnson now has a beneficial interest in
25,258,611 shares in the Company, representing 2.9% of the issued share capital.
