Item 8.01.

Other Events.

As previously disclosed, on February 18, 2021, Hecla Mining Company (the “Company”) entered into an Equity Distribution Agreement (the “Agreement”) with BMO Capital Markets Corp., Scotia Capital (USA) Inc., BofA Securities, Inc., B. Riley Securities, Inc., Canaccord Genuity LLC, Cantor Fitzgerald & Co Inc., CIBC World Markets Corp., Credit Suisse Securities (USA) LLC, Goldman Sachs & Co. LLC, H.C. Wainwright & Co., LLC, J.P. Morgan Securities LLC, RBC Capital Markets, LLC and Roth Capital Partners, LLC (collectively, the “Agents”). Pursuant to the terms of the Agreement, the Company may offer and sell up to 60,000,000 shares of common stock, par value $0.25 per share (the “Shares”), from time to time through or to the Agents. Sales of the Shares, if any, would be made by means of ordinary brokers’ transaction, as otherwise agreed between the Company and the Agents or to the Agents as principal. Agents will receive from the Company a commission of up to 1.5% of the gross sales proceeds of the Shares sold.

The Shares have been registered under the Securities Act of 1933 pursuant to the Company’s automatic shelf registration statement (File No. 333-262925) on Form S-3, which was filed with the Securities and Exchange Commission on February 23, 2022. A copy of the legal opinion of K&L Gates LLP relating to the Shares is filed as Exhibit 5.1 to this Current Report and is incorporated herein by reference.
