Dear Colleagues,

With the new year well underway, I am pleased to inform you that we continue to make good progress on the proposed merger with Royal Ahold. An important step was completed last Friday with the filing by Ahold of a key document with the U.S. Securities and Exchange Commission. Known as Form F-4, this information – which will be publicly accessible starting today – includes extensive background about the merger, financials, and the regulatory and shareholder approval process.

The F-4 materials also reference the future Supervisory Board of Ahold Delhaize, which will take effect upon the completion of the merger. As you will see from the list below, the board has balanced representation from both companies.

Last June, we announced the Supervisory Board's three leaders:

· Mr. Mats Jansson, current chairman of Delhaize Group’s Board of Directors, as Chairman
· Mr. Jacques de Vaucleroy, current member of Delhaize Group’s Board of Directors, as Vice Chairman
· Mr. Jan Hommen, current chairman of Ahold’s Supervisory Board, as Vice Chairman

We now have the pleasure of announcing the 11 other board members, consisting of five who currently serve on the Delhaize Group board, five from the Ahold board and one new member:

We have selected the best possible combination of knowledgeable, experienced executives for the Supervisory Board, which will be responsible for advising the new Management Board and overseeing the overall strategy of Ahold Delhaize. Further, the parity of membership reflects the strategic combination of two equals and will ensure that the interests of both organizations are fully considered in deciding the direction of the new company.
 

 
 
Though we are excited to announce these appointments, the composition of the Supervisory Board and other elements of the merger are subject to shareholder approval and regulatory clearance. We remain on track to complete the merger by mid-2016.
