At the annual meeting of stockholders, the following proposals
will be submitted for stockholder approval and are fully described
in the Proxy Statement issued on August 15,
2011. The Company's proxy and annual report are also

1. To elect three directors as Class I directors to serve until
the 2013 Annual Meeting of Stockholders and until their respective
successors have been duly elected and qualified, or until such
director's earlier resignation, removal or death;
2. To approve and ratify the unanimous resolution of the Board of
Directors on July 29, 2011 to effect
a three-to-one reverse stock split of the Company's issued and
outstanding shares and its attendant Articles of Amendment;
3. To ratify and approve the 2011 Incentive Stock Plan which has
been approved by the Board of Directors;
4. To ratify the appointment of Sherb & Co., LLP as the
Company's independent registered public accounting firm for the
fiscal year ending December 31,
2011;
5. To conduct an advisory vote on executive compensation;
6. To conduct an advisory vote on the frequency of future advisory
votes on executive compensation;
7. To act on such other matters as may properly come before the
meeting or any adjournment or adjournments thereof.
