AAC Holdings, Inc. (the Registrant) has prepared this Registration Statement on Form S-8 (this Registration Statement)
in accordance with the requirements of Form S-8 under the Securities Act for the purpose of registering (i) 250,000 additional shares of Common Stock issuable pursuant to the ESPP, which Common Stock is in addition to the 250,000 shares of
Common Stock registered on the Registrants Registration Statement on Form S-8 filed with the Securities and Exchange Commission (the SEC) on December 23, 2014 (Commission File No. 333-201218) and (ii) 1,800,000
additional shares of Common Stock issuable pursuant to the 2014 Plan, which Common Stock is in addition to the 1,571,120 shares of Common Stock registered on the Registrants Registration Statement on Form S-8 filed with the SEC on
October 3, 2014 (Commission File No. 333-199161) (collectively, the Prior Registration Statements).
This
Registration Statement relates to securities of the same class as that to which the Prior Registration Statements relate, and is submitted in accordance with General Instruction E to Form S-8 regarding Registration of Additional Securities. Pursuant
