Item 7.01 Regulation FD Disclosure.
In connection with Golden Matrix Group, Inc.’s (the “Company’s”) previously disclosed January 11, 2023 Sale and Purchase Agreement of Share Capital (as amended and restated from time to time, the “Purchase Agreement”), entered into with Aleksandar Milovanović, Zoran Milosevic and Snežana Božović (collectively, the “Sellers”), the owners of Meridian Tech Društvo Sa Ograničenom Odgovornošću Beograd, a private limited company formed and registered in and under the laws of the Republic of Serbia; Društvo Sa Ograničenom Odgovornošću “Meridianbet” Društvo Za Proizvodnju, Promet Roba I Usluga, Export Import Podgorica, a private limited company formed and registered in and under the laws of Montenegro; Meridian Gaming Holdings Ltd., a company formed and registered in the Republic of Malta; and Meridian Gaming (Cy) Ltd, a company formed and registered in the republic of Cyprus (collectively, the “Meridian Companies”), and in an ongoing effort to raise funds to pay the purchase price associated therewith, the Company provided potential investors in a contemplated private placement of equity or debt instruments convertible into the Company’s equity securities, including but not limited to a structured private investment in public equity (PIPE) (the “Private Placement”) with certain presentations regarding the Meridian Companies, the combined company and the expected benefits of the combination.
Excerpts of such presentations are attached hereto as Exhibits 99.1 and 99.2, and are incorporated into this Item 7.01 by reference.
