Officers.
On December 17, 2020,
the Board of Directors of Forward Industries, Inc. (the “Company”) approved the Forward Industries, Inc. 2021 Equity
Incentive Plan (the “Plan”), which covers the potential issuance of 1,291,000 shares of common stock, from which (i)
1,000,000 are new shares and (ii) 291,000 shares that remained available from the Company’s 2011 Long Term Incentive Plan.
Awards that may be granted under the Plan include: (a) Incentive Stock Options, (b) Non-qualified Stock Options, (c) Stock Appreciation
Rights, (d) Restricted Awards, (e) Performance Share Awards, and (f) Performance Cash Awards.
