Explanation of Responses:

1. This transaction represents a gift of 525 shares to each of five trusts for Mr. Marron's children, one of whom is a dependent.

2. The shares are held in a trust of which the reporting person is the trustee and sole beneficiary.

3. This reflects the total amount of shares held in trust for the benefit of Mr. Marron's dependent child. The reporting person no longer has a reportable beneficial interest in 4,229 shares owned by one of his children and included in the reporting person's prior ownership reports.
