www.virtualshareholdermeeting.com/CECE2022 at 8:00 a.m., Central Time, on June 8, 2022, or any postponement or adjournment thereof.
Why Did I
Receive a Notice of Internet Availability of Proxy Materials?
Pursuant to rules adopted by the SEC, we have elected to provide access to our proxy materials over
the internet. Accordingly, we have sent you a Notice of Internet Availability of Proxy Materials (Notice) because our Board is soliciting your proxy to vote at the Annual Meeting, including at any adjournments or postponements of the
Annual Meeting. All stockholders will have the ability to access the proxy materials on the website referred to in the Notice or request to receive a printed set of the proxy materials. Instructions on how to access the proxy materials over the
internet or to request a printed copy may be found in the Notice.
We mailed the Notice and released our proxy materials on or about April 29, 2022, to all
stockholders of record as of April 11, 2022, the Record Date, who are entitled to vote in connection with the Annual Meeting.
Will I Receive Other Proxy
Materials by Mail?
No, you will not receive any proxy materials, other than the Notice, by mail unless you request a paper copy of proxy materials. To request

Who Bears the Cost of Solicitation?
The Company is soliciting your votes for
this Annual Meeting. The cost of solicitation of the proxies will be borne by us. In addition to this solicitation of the proxies, our employees, without extra remuneration, may solicit proxies personally or by telephone. We will reimburse brokerage
firms, nominees, custodians, and fiduciaries for their out-of-pocket expenses for forwarding proxy materials to beneficial owners and seeking instruction regarding the
proxy materials.
Who Can Vote?
Only stockholders of record at the close
of business on April 11, 2022, which we refer to as the record date, are entitled to notice of, and to attend and vote at, the Annual Meeting. As of the record date, there were 35,076,119 outstanding shares of our common stock. Each share of
our common stock outstanding on the record date will be entitled to cast one vote upon each matter submitted to a vote at the Annual Meeting.
Who is a
Stockholder of Record?
A stockholder of record (or record holder or registered holder) means that your shares are registered in your name directly on the books
of our registrar and transfer agent Broadridge Financial Services, Inc. If you are a stockholder of record, we have provided these proxy materials directly to you.
If you hold your shares through a bank, broker or other intermediary, you are considered the beneficial owner of those shares held in street
name. If your shares are held in street name, these proxy materials have been forwarded to you by your bank, broker or other intermediary. As the beneficial owner, you have the right to instruct that institution on how to vote the shares you
beneficially own.

If you are
a registered shareholder, there are several ways for you to vote. You may attend the Annual Meeting via the internet and vote during the Annual Meeting. You may also vote by internet before the date of the Annual Meeting, by proxy or by telephone
using one of the methods described on the Notice and in the proxy card. We recommend you vote by mail, internet or telephone even if you plan to attend the Annual Meeting. If you vote by internet or telephone, please do not return the proxy card. If
voting by mail, please complete, sign and date your proxy card enclosed with these proxy materials. If desired, you can change your vote at the Annual Meeting.
