Notification of interests of directors and connected persons

On 28 January 2004, a non-beneficial interest in 7,925 Rathbone Brothers Plc
Ordinary Shares of 5p (representing 0.02% of the issued share capital of the
Company) held by a director, Richard Ian Smeeton, as a trustee of a
discretionary trust became a beneficial interest following the transfer of these
shares to two bare trusts for the benefit of his minor children.

The transfer was made at a price of #7.7475. The shares remains registered in
the name of Rathbone Nominees Limited.

Following the transfer, his beneficial holding is now 133,522 ordinary shares
(representing 0.33% of the issued share capital of the Company). He no longer
has a non-beneficial interest in the Company's ordinary shares.
