("International Energy" or the "Company")



Director Shareholding

International Energy Group announces that Michael Roy Richards, the Company's
Finance Director, has exercised 125,000 share options in accordance with the
rules of the International Energy Group Limited Executive Share Option Scheme.
The share options were exercised on 30 May 2003 at 63.5 pence per share.
Following this exercise, Mr. Richards will hold 160,000 shares representing 2.2
per cent. of the Company's issued share capital.

Application has been made to the UK Listing Authority and to the London Stock
Exchange for additional listing of 125,000 ordinary shares of 10 pence each
("New Ordinary Shares") to (i) the Official List, and (ii) trading on the London
Stock Exchange's market for listed securities in relation to the exercise of
these options.

The New Ordinary Shares will be issued credited as fully paid and will, on
issue, rank pari passu in all respects with the existing issued ordinary share
capital of the Company. Following the issue of the New Ordinary Shares, the
Company will have 73,542,303 ordinary shares in issue.

It is expected that Admission will become effective and that dealings in the New
Ordinary Shares on the Official List will commence on Thursday 5 June 2003.
