                     Directors' interests in share capital


The Company received notification on 7 February 2003 from two of its directors,
Nigel Wayne and Rob Murphy, that on that date they gifted 21,000 and 51,500 of
their holdings of ordinary shares for family and personal reasons. The shares
gifted are equivalent to 0.07 per cent. and 0.18 per cent. of the Company's
ordinary share capital.

Their holdings in the Company's ordinary shares following these gifts are now
nil and 51,500 respectively. Rob Murphy's holding is now equivalent to 0.18 per
cent. of the Company's ordinary share capital.
