Regulation FD Disclosure.

On
December 28, 2020, CPI Aerostructures, Inc. (the “Company”) issued a press release announcing that it had entered
into a Settlement and Release Agreement with Air Industries Group resolving the previously-disclosed dispute relating to the working
capital adjustment arising out of Air Industries Group’s sale of Welding Metallurgy, Inc. to the Company.
The
