4. Ownership.

 

	(a)	Amount beneficially owned: As of December 31, 2023, Piuma, LLC was the record holder of 220,000 Class B Ordinary Shares of the Issuer. Massimo Ferragamo is the managing member of Piuma, LLC and has sole voting and dispositive power over the shares held by it. As a result, Mr. Ferragamo may be deemed to be an indirect beneficial owner of the shares held directly by Piuma, LLC.
	(b)	Percent of class: The 220,000 Class B Ordinary Shares beneficially owned by each of the Reporting Persons represented approximately 5.6% of the Issuer’s outstanding Class B Ordinary Shares based on 3,960,000 Class B Ordinary Shares outstanding as of December 31, 2023.
