Item 5.02 Election of Directors

On August 3, 2009, the Board of Directors (“the Board’) of Protective Life Corporation (“the Company”), upon recommendation of its Corporate Governance and Nominating Committee, elected Hans Miller to the Board, effective immediately. Mr. Miller was also appointed a member of both the Finance and Investments and the Audit Committees of the Board. Mr. Miller will participate in the Director Compensation Program described in the Company’s 2009 Proxy Statement.

A copy of the Company’s press release announcing Mr. Miller’s election to the Board, dated August 3, 2009, is attached hereto as Exhibit 99 and is incorporated herein by reference.
