The new registration statement, which takes advantage of the company's status as a Well Known Seasoned Issuer (WKSI), replaces an existing Form S-3 registration statement for the same purpose. Under the shelf process, one or more of the selling stockholders to be named in a prospectus supplement may offer and sell, from time to time, shares of the company's common stock.
