Explanation of Responses:
( 1)  The reported common stock were acquired pursuant to the Non-Management Director Compensation arrangements, whereby 50% of retainer fees are paid in the Company's common stock. The amount reflect a prorated amount for service as a non-management director.
( 2)  These shares were previously reported as directly beneficially owned but were contributed to a Grantor Retained Annuity Trust ("GRAT").
( 3)  Shares held in trust under MetLife Policyholder Trust established to hold shares of Common Stock allocated to eligible policyholders of Metropolitan Life Insurance Company, a wholly-owned subsidiary of MetLife, Inc.
