Item 8.01. Other Events.
On February 11, 2022, Crawford & Company
(the “Company”) issued a press release announcing that its Board of Directors authorized the Company to increase its
current share repurchase program, approved November 4, 2021, by an additional five million shares of its common stock. Under the
share repurchase program established by the Board on November 4, 2021, the Company was authorized to repurchase up to an aggregate
of two million shares of its common stock until December 31, 2023. As of February 10, 2022, 413,317 shares of common stock remain
unexercised under the share repurchase program. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated
herein by this reference.
