Explanation of Responses:

On June 30, 2020, the reporting person mistakenly filed a Form 4 to report an accrual into reporting person's Director Deferred Compensation account. The total in Column 5 has been adjusted to omit accruals under the reporting person's Director Deferred Compensation account that were mistakenly reported in Forms 4 on January 30, 2020, February 26, 2020, March 26, 2020, March 27, 2020, April 30, 2020, May 28, 2020 and June 26,2020.
