Item 1.01 Entry into a Material Definitive Agreement.
Ninth Amendment to Loan and Security Agreement
On September 29, 2020, Creative Realities,
Inc. (the “Company”) entered into a Ninth Amendment to Loan and Security Agreement (the “Amendment”) with
its subsidiaries and Slipstream Communications, LLC (“Lender”). Pursuant to the Amendment, the parties agreed to extend
the date on which the Lender’s existing $2,000,000.00 special loan to the Company (with accrued and unpaid interest) automatically
converts into a new class of senior preferred stock of the Company, from October 1, 2020 to November 30, 2020 (or upon an earlier
event of default).
The Amendment is filed as Exhibit 10.1
to this report, and the foregoing description is qualified in its entirety by reference thereto.
