Item 7.01. Regulation FD Disclosure.

On March 24, 2020, Everi Holdings Inc. (the “Company” or the “Registrant”) issued a press release announcing a range of actions that management and the Board of Directors have implemented to maintain balance sheet flexibility and preserve liquidity given the business disruption caused by the rapid nationwide spread of the novel COVID-19 virus and the actions by state and tribal governments and businesses to contain the virus. A copy of the press release is furnished herewith as Exhibit 99.1.
