This
Form 8-K/A is
being filed as an amendment (Amendment No. 1) to the Current Report on
Form 8-K filed
by Annaly Capital Management, Inc. (the Company) with the U.S. Securities and Exchange Commission (the SEC) on May 25, 2017 (the Original Filing).
The sole purpose of this Amendment No. 1 is to provide additional information regarding the frequency of future stockholder advisory votes regarding the Companys executive compensation. No changes have been made to the Original Filing.

Submission of Matters to a Vote of Security Holders
|
As reported in the Original Filing, at the
Companys 2017 Annual Meeting of Stockholders held on May 25, 2017, the Companys stockholders approved, on an advisory basis, holding an annual advisory vote regarding the Companys executive compensation. Consistent with the
recommendation of the Board of Directors of the Company as set forth in the Companys definitive proxy statement filed with the SEC on April 11, 2017 and the advisory vote of the Companys stockholders on this proposal at the Annual
Meeting of Stockholders, the Company intends to hold the advisory vote on the Companys executive compensation every year. The Company intends to continue holding such votes annually until the next required vote on the frequency of the advisory
vote on the Companys executive compensation.
