Explanation of Responses:

( 1)

In connection with the spin-off (the "Spin-Off") of NexPoint Residential Trust, Inc. (the "Company") by NexPoint Credit Strategies Fund ("NHF"), pursuant to the terms of Section 4 of the Separation and Distribution Agreement, dated March 11, 2015, between NHF and the Company (the "Agreement"), and an exemptive relief order granting exemption from Section 17(a) of the Investment Company Act of 1940, NHF effected the Distribution (as defined in the Agreement) on March 31, 2015. NHF distributed to each holder of record of shares of beneficial interest in NHF ("NHF Common Shares") as of March 23, 2015, the record date for the Distribution (the "Record Date"), all of the shares of common stock of the Company by means of a pro rata distribution of one share of common stock of the Company for every three NHF Common Shares held of record by such holder as of the Record Date.
