Holdings in Company

Further to the announcement on 1 April 2011 by Watford FC Limited ("WFCL"), declaring its cash offer for the entire issued and to be issued share capital of Watford Leisure (the "Offer") to be unconditional in all respects, Watford Leisure announces that yesterday it received notifications from certain significant shareholders and warrantholders as follows:

1 Graham Simpson's interests in ordinary shares of 1 pence each in the capital of the Company ("Ordinary Shares") and warrants to subscribe for Ordinary Shares at 4 pence per Ordinary Share ("Warrants") have fallen below the 3 per cent. disclosure threshold;

2 Yianna Simpson's interest in Ordinary Shares has fallen below the 3 per cent. disclosure threshold;

3 Fordwat Limited's, Strand Associates Limited's and Lord Ashcroft's interests in Ordinary Shares and Warrants have fallen below the 3 per cent. disclosure threshold; and

4 David Fransen's interest in Warrants has fallen below the 3 per cent. disclosure threshold.

In connection with the Offer:

(i) Graham Simpson irrevocably undertook to accept the Offer in respect of all of his holding of 3,616,917 Ordinary Shares, and agreed to sell all of his holding of 11,840,000 Warrants to WFCL for one pound conditional on the Offer becoming or being declared wholly unconditional;

(ii) Yianna Simpson irrevocably undertook to accept the Offer in respect of all of her holding of 3,751,879 Ordinary Shares;

(iii) Fordwat Limited irrevocably undertook to accept the Offer in respect of all of its holding of 16,306,437 Ordinary Shares, and agreed to sell all of its holding of 150,000,000 Warrants to WFCL for one pound conditional on the Offer becoming or being declared wholly unconditional; and

(iv) David Fransen agreed to sell all of his holding of 41,000,000 Warrants to WFCL for one pound conditional on the Offer becoming or being declared wholly unconditional.
