Utilico Investment Trust plc (the "Company")

Further to the announcement dated 1 April 2004 relating to an Open Offer of
#20,057,683 3.75 per cent. subordinated convertible unsecured loan stock 2009
("CULS") and a capital reorganisation of the Company, the Directors are pleased
to announce that 15,053,583 CULS have been taken up by Shareholders under the
Open Offer. The remaining #5,004,100 CULS have been placed by Collins Stewart
Limited. Dealings in the CULS, together with 45,162,763 zero dividend preference
shares and 64,231,495 new ordinary shares commenced this morning on the London
Stock Exchange and are expected to commence on the New Zealand Stock Exchange on
Monday 10 May 2004.
