Following the announcement on 6 September 2012 by Mayfair
Capital Investments Limited ("Mayfair") regarding its firm
intention to make a cash offer to acquire the entire issued
ordinary share capital of Timeweave plc ("Timeweave") not already
owned by it at a price of 22 pence per Timeweave Share, Mayfair
announces that the Offer Document has been published today and is
being posted to Timeweave Shareholders together with the associated
Form of Acceptance.
The Offer values the existing issued ordinary share capital of
Timeweave at approximately GBP49.6 million. The Offer price of 22
pence in cash per Timeweave Share represents a premium of
approximately 16 per cent. to the three month volume weighted
average closing share price of 18.98 pence per Timeweave Share and
a premium of approximately 13 per cent. to the middle market price
of 19.50 pence per Timeweave Share on 5 September 2012 (the last
Business Day prior to the commencement of the Offer Period).
The Offer will remain open for acceptance until 1.00p.m. (London
time) on 2 October 2012. The procedure for acceptance of the Offer
is set out in paragraph 12 of Part I of the Offer Document and, in
respect of certificated Timeweave Shares, is further described in
the Form of Acceptance.
The Offer is subject to the terms and conditions set out in the
Offer Document. The Offer Document and the Form of Acceptance are
published on www.mayfaircapitalinvestments.com and will be
available for inspection during normal business hours on any
business day at the offices of Dickson Minto W.S. at Broadgate
Tower, 20 Primrose Street, London EC2A 2EW while the Offer remains
open for acceptance.
Capitalised terms used but not defined in this announcement
shall have the meanings given to them in the Offer Document, unless
stated otherwise.
