10 Property Ltd, ("10 Property") a subsidiary of 10 Group plc has entered into a
joint venture agreement with Central Homes plc ("Central Homes") to sell
Carterbench House, Bollington, Cheshire and convert it into 11 apartments.

The freehold of the property will be sold for #450,000.  Central Homes will
repay the loan of #225,000 with National Westminster Bank plc on behalf of 10
Property and fund all costs of the development and conversion.  When the
apartments are sold, 10 Property will receive the balance of the #450,000
(#225,000) and 50% of the net profit achieved on the development after all costs
have been deducted.

Andy Moore, Chairman of 10 Group plc, is also Chairman of and has a substantial
interest in, Central Homes.

The boards of 10 Group plc, 10 Property and Central Homes have approved the
transaction.  Andy Moore took no part in their respective discussions.

The Board of 10 Group plc, have consulted the Company's nominated adviser,
Nabarro Wells & Co. Limited, who consider the terms to be fair and reasonable
and in the interests of shareholders.
