                                    TDG plc

                          PRE-CLOSE TRADING STATEMENT

TDG is today providing a trading update ahead of the commencement of the close
period preceding the Group's interim results announcement on 30 July, 2003.

As we indicated at the time of the preliminary results announcement, many of
our customers are maintaining a cautious outlook with a consequential delay in
decision making on investment and outsourcing which is likely to be reflected
in the value of new business won during the year.

In the light of this, and the continuing pressure on margins on existing
contracts, we have taken steps to reduce our cost base in the UK and to exit
from some low value added activities in Ireland. The cost of these actions is
estimated to be just over 1m, which will be charged as an exceptional
operating cost in the first half.

We expect to benefit from these actions in the full year and to continue to
benefit from the other actions we have taken to strengthen the Group both
strategically and operationally. Barring any further deterioration in market
conditions, we expect headline profit for the year (before exceptional
operating costs and exceptional items) to be in line with current market
expectations.

The strategic review of the Group's French business has continued during the
first half. As planned, an update on the strategic review will be provided with
the interim results announcement.
