                        Directors' Shareholding



The Board of Ted Baker PLC (the "Company") was notified on 2 August 2004 that
the Ted Baker Group Employee Benefit Trust (the "Trust") transferred 198,250
ordinary shares to satisfy employee options. At the same time, the Trust
acquired 100,000 ordinary shares in the Company on 2 August 2004 at an average
price of 404p (the "Shares"). The Trust now holds 239,930 ordinary shares
representing 0.56 per cent. of the currently issued share capital of the
Company.


Lindsay Page, finance director of the Company, is a member of the class of
discretionary beneficiaries of the Trust and is consequently taken as having an
interest in all shares in the Trust. As a consequence of the disposal and
acquisition of the above Shares by the Trust, Lindsay Page is deemed to have
disposed and acquired an interest in these Shares.
