Directorate Change

As was previously stated in the preliminary statement released on 15 September
2004, William Sinclair Holdings plc ('the Company') today announces that Charles
Ouin retired from the Board of the Company on 27 October 2004.  Charles, who has
been a Non-Executive Director since 1988, has made a valuable contribution to
the Group and the Board would like to express its gratitude for his commitment
and service.
