CLOSE OF OFFER

Shoprite Group P.L.C. announces that the Offer to Buy Back up to 14,838,077
Ordinary Shares of 5p at a price of 15.4 pence in cash per Ordinary Share, which
was announced on October 5th, closed at 3 p.m. yesterday, Thursday November 15th
2007. Acceptances were received in respect of 2,488,724 Ordinary Shares of 5p,
representing 3.35 % of the current issued share capital.

The shares which have been accepted in the Offer will be cancelled and following
the cancellation, there will be 71,701,665 Ordinary Shares of 5p in issue. The
effect of the cancellation on the Directors interests and holdings of more than
3% that have been notified to Shoprite Group P.L.C. is as follows:
