Changes to Board of Directors

Appointment of Chief Executive Officer and Chief Financial Officer

Maidenhead, U.K. - Monday 17 January 2011 - SDL plc ("SDL") today announces the following changes to its board of Directors, which are effective from 1 February 2011.

Mr. John Hunter, currently Chief Financial Officer, has been appointed to the role of Chief Executive Officer.

Mr. Mark Lancaster, currently Chairman and Chief Executive Officer, will retain the role of Executive Chairman.

Mr. Matthew Knight has been appointed Chief Financial Officer replacing John Hunter. He will join SDL towards the end of April 2011 and is currently employed by Logica plc, where he is Chief Financial Officer for Northern & Central Europe. Matthew has held a variety of UK and international roles and has extensive experience of the software and services industry. He holds a BEng in Mechanical Engineering from Imperial College and is a member of the Institute of Chartered Accountants of England and Wales.

Mrs. Cristina Lancaster will leave the board at the end of March 2011 but will continue to work in SDL in a part-time position supporting the Chief Information Officer, Mark Reid, on internal systems development and strategy utilising her considerable knowledge and experience of the company.

SDL intends to further strengthen the board with the appointment of at least one additional Independent Director in 2011.

Commenting on these board changes John Matthews, Senior Independent Director of SDL said, "These changes are the result of a carefully planned succession process and bring absolute clarity to the future board structure of SDL. The changes deliver stable continuity of executive leadership, strengthen the board and are in-line with effective corporate governance."
