RTL Group sells French technical facilities company VCF to Spanish Mediapro

Luxembourg, 1st February 2002 - RTL Group today announces the sale of its French
technical facilities company Video Communication France (VCF) to Barcelona-based
TV services group Mediapro. Under the terms of the agreement, Mediapro will
acquire 100 per cent of VCF for Euro 12.2 million.

Jean-Charles de Keyser, Executive Vice President TV & Radio, RTL Group, said: "
VCF achieved a strong position in the French market for TV services and
technical facilities but we felt its opportunities for further development under
the ownership of RTL Group were limited. We are confident that, under the
ownership of Mediapro, it will be well positioned to further grow its 
potential."

Based in Saint-Cloud near Paris, VCF generates annual revenues of Euro 50
million and employs more than 330 permanent staff. VCF was formed in 1986 by the
merger of the two RTL Group subsidiaries Video Centre International and Video
Tele France. The company provides a range of services for leading commercial TV
channels, including the production of shows and events as well as the operation
of play-out centers for TV broadcasting. In production, VCF operates three
studio complexes in the Paris area, including the "La Chapelle" studios, and a
fleet of mobile recording units. In broadcasting, it manages 35 different
programmes, broadcasting a total of 500 hours per day. VCF is also active in
Internet and interactive TV.
