RTL Group statement: Bertelsmann Share Purchase



Luxembourg, 24 December 2001. - RTL Group notes today's announcement by
Bertelsmann that it has entered into an agreement to acquire 22 per cent of
RTL Group's issued share capital from Pearson plc. RTL Group will be convening
a board meeting to discuss this development and the statement that 
"Bertelsmann has commenced discussions with the board of RTL with the intention
of buying out the remaining public shareholders in RTL at a price of Euro 44
per share".



Public shareholders currently own 11 per cent of RTL Group's issued share
capital.



A further announcement will be made as and when appropriate.
