Update on Agreement

Red Rock Resources Plc, the natural resource exploration and development company, with interests in gold, base metals, battery metals, and hydrocarbons principally in Africa and Australia, announced on 13^th March 2024 a "Conditional Agreement to take 100% ownership of Australian Gold Subsidiary" (the "Agreement").

Clause 3 of the Agreement read as follows: "Should all conditions precedent not be satisfied or agreed in writing by the parties to be waived within 13 weeks of the date of this HoT [Heads of Terms], the HoT shall be terminated".

Given the long weekend due to the public holiday in Australia on Monday 10th June, the parties have agreed a short extension of this long stop date to 11^th June. An announcement in relation to the transaction will therefore not be issued before Wednesday 12^th June.
