Response to Offer Announcement

8 November 2005

The Board of Reed Health Group note today's announcement by James Reed &
Partners Plc of an offer to acquire all of the issued and to be issued share
capital of Reed Health Group not already owned by James Reed & Partners Plc for
55 pence per share.

A committee of Independent Directors comprising all of the Directors of Reed
Health Group with the exception of James Reed and Derek Beal (who are associated
with James Reed & Partners Plc) has been formed to consider this offer.

The Independent Directors advise shareholders to take no action at this stage
and a fuller announcement will be made in due course.
