Correction: Phoenix IT Group plc's capital consists of 60,282,485 ordinary
shares with voting rights and not 74,782,485  ordinary shares with voting
rights, as previously announced on 31 May 2007 at 16.46 under RNS number 5696X. 
The  corrected announcement follows.

In conformity with the Disclosure and Transparency Rules we would like to notify
the market of the following: -

Phoenix IT Group plc's capital consists of 60,282,485 ordinary shares with
voting rights and therefore that is the  figure that may be used by shareholders
as the denominator for the calculations by which they will determine if they 
are required to notify their interest in, or a change to their interest in,
Phoenix IT Group plc under the FSA's  Disclosure and Transparency Rules.
