                    Result of Extraordinary General Meeting 
 
 
The Board of The Prospect Japan Fund Limited(the "Company") is pleased to 
announce that at the Company's Extraordinary General Meeting held earlier today 
the ordinary resolution to approve the proposed subscription by the Company for 
up to Yen 3,000 million(approximately US$25 million) convertible bonds in 
Prospect Co.(formerly Gro-bels) was duly passed. 
 
The proxy voting figures received in advance of the meeting are shown below:
