Pursuant to Sections 198 and 204 of the Companies Act 1985, we were advised on
6th February 2004 that, J. O. Hambro Capital Management Limited, in conjunction
with North Atlantic Smaller Companies Investment Trust PLC, North Atlantic Value
LLP and Oryx International Growth Fund Limited have an interest in 4,265,880
ordinary shares of 2p each equivalent to 4.53% of the issued share capital of
Charter plc.
