                   Newport Networks Group PLC ("the Company")

                            Directors' Shareholding


Following their participation in the placing which was announced by the Company
on 23 December 2005 and became unconditional on 25 January 2006, the following
Directors of the Company have increased their respective holdings in the
ordinary shares of 5 pence each ("Ordinary Shares") as detailed below. All of
the Ordinary Shares were subscribed for as part of the placing at the placing
price of 15 pence.
